Company Sales Policy

The following terms and conditions constitute the sole official Company Sales Policy of F&J. An F&J customer ("Purchaser") agrees by the acceptance of all or a portion of an F&J quotation to accept the "Standard Terms and Conditions" (concerning, inter alia, F.O.B., Freight, Warranty and Limitation of Liability) as expressly contained or referred to in this Company Sales Policy, unless the Purchaser elects an "Electable Term and Condition" in the manner provided herein or F&J agrees to an Exception to the Company Sales Policy in the manner provided herein.

Standard Terms & Conditions

Published F&J Pricing to Purchaser for goods and services is made on the basis of F.O.B. "Place Of Shipment", with freight prepaid by Seller and added to the invoice for the goods or paid via Freight Collect. The Purchaser assumes all risk of loss or damage to goods while in transit. Title to the goods shall transfer to the Purchaser upon pickup by the carrier at F&J's shipping dock.

F&J maintains the right, at its election, to make partial shipments of the Products and to invoice each shipment separately. All shipping dates are approximate only, and F&J will not be liable for any loss or damage resulting from any delay in delivery or failure to deliver. In the event of a delay due to any cause beyond F&J's reasonable control, F&J reserves the right to terminate the order or to reschedule the shipment within a reasonable period of time, and Purchaser will not be entitled to refuse delivery or otherwise be relieved of any obligations as the result of such delay. Products as to which delivery is delayed due to any cause within Purchaser's control may be placed in storage for Purchaser by F&J at Purchaser's risk and expense.

The Terms of F&J's standard Warranty and Limitation Of Liability shall apply to all sales of goods or services to Purchaser whether on open credit or pre-payment terms. Electable Terms & Conditions

F&J will accept F.O.B. "Place of Destination" and/or will pay shipping costs "Freight Allowed," only if the Purchaser agrees to and complies with the following terms and conditions:

• F&J's acceptance of F.O.B. "Place of Destination" terms requires the Purchaser to authorize F&J, by writing in the purchase order, to purchase insurance coverage in the amount of the full purchase price of the goods in the event of loss or damage in transit from F&J's shipping dock to the Purchaser's requested destination. If Purchaser elects F.O.B. "Place of Destination," all Standard Terms and Conditions remain effective except that F&J assumes all risk of loss or damage to the goods while in transit, and title to goods shall transfer to the Purchaser when delivery is tendered at the Purchaser's requested destination.
• F&J's acceptance of "Freight Allowed" terms requires the Purchaser to authorize F&J, by writing in the purchase order, to list shipping and handling costs as a separate item on the invoice, or to authorize F&J to bundle the freight costs into the price of the goods being purchased. If Purchaser elects F.O.B. "Freight Allowed," all Standard Terms and Conditions remain effective except that F&J will pay and list shipping and handling costs as provided herein.

Exceptions

A request for an exception to the Company Sales Policy must be delivered in writing to the F&J Sales Department for review and negotiation prior to placement and acceptance of an order. Unless expressly agreed to in writing by F&J and Purchaser prior to the placement and acceptance of an order, this Company Sales Policy represents the final and complete understanding between F&J and Purchaser and there are no other Company Sales Policies between F&J and Purchaser. This Company Sales Policy shall supersede any contrary sales policies of Puchaser and any such contrary sales policies of Purchaser shall not be binding upon F&J, unless expressly agreed to in the manner provided herein. The terms set forth in this Policy shall not be supplemented by any contradictory trade usage, industry practice, or custom.

Severability

In the event that any portion of this Policy is declared null, void, or unenforceable the remaining provisions of this Policy shall remain in full force and effect and not be affected thereby.
